Master Tec Group Berhad (MTG) was incorporated in Malaysia under the Companies Act on 3 November 2022 as a private limited company, initially named Master Tec Group Sdn Bhd. On 15 June 2023, we transitioned into a public limited company and adopted our current name. MTG was listed on the stock exchange on 29 January 2024.<\/p>\n

MTG is an investment holding company, with MTWC, its sole subsidiary, specializing in the manufacturing and distribution of power cables, control and instrumentation cables, and related products. MTWC also trades in power cables, fibre optic cables, and other related products. On 9 June 2023, we entered into a conditional share sale agreement with Dato\u2019 Lau, being the Promoter and our substantial shareholder, to acquire the entire equity interest in MTWC comprising 30,000,000 ordinary shares (\u201cMTWC Sale Shares\u201d) for a purchase consideration of RM86,189,990 which represents a PB multiple of approximately 1.00 time of the audited NA of MTWC as at 31 December 2022 of approximately RM86.23 million. The purchase consideration was satisfied entirely by the issuance of 861,899,900 new Shares at an issue price of RM0.10 each, credited as fully paid-up to Dato\u2019 Lau.<\/p>\n

The Acquisition was completed on [\u25cf].
